Terms of Service
Last updated: 11/1/2026
These Terms of Service (“Terms”) are a legal agreement between you (“you”, “your”) and [Legal Business Name], trading as [Store Name] (“we”, “us”, “our”). They govern your purchase of, and access to, our vendor list and any related digital materials (the “Vendor List”).
By buying, downloading, or using the Vendor List, you confirm that you have read these Terms and agree to them. If you do not agree, do not buy or use the Vendor List.
1. About these terms
These Terms apply to the Vendor List and to our website. They sit alongside our Privacy Policy, our Refund Policy, and the order confirmation you receive at checkout. If those documents conflict with these Terms on a point about the Vendor List, these Terms prevail.
You must be at least 18 years old and legally able to enter a contract. If you buy on behalf of a company, you confirm you have authority to bind that company, and “you” includes it.
2. What you are buying
You are buying a digital product: access to a curated directory of third-party suppliers, vendors, wholesalers, and manufacturers, together with any categories, notes, templates, or updates we choose to include.
You are not buying:
- physical goods, stock, or inventory;
- a website, online store, or store setup service;
- done-for-you sourcing, buying, fulfilment, or customer service;
- a franchise, business opportunity, investment, or income programme;
- a guaranteed relationship with any vendor, or a guaranteed supply of any product.
The Vendor List is a research tool. It is delivered for your own use, and the contents are described on the product page at the time of purchase. We may add, remove, or update entries over time.
3. Delivery and access
The Vendor List is delivered electronically. After payment clears, we send an access link or download to the email address entered at checkout, normally within 24 hours. Nothing is shipped to a postal address.
If the email does not arrive, check your spam and promotions folders, then contact us at [support email] within [7] days of purchase so we can resend it. You are responsible for keeping the email address on your order accurate and accessible.
Access is granted for the period stated on the product page when you buy (for example, [access period]). Unless expressly stated otherwise, access is personal to you and subject to these Terms. We may change the delivery format or platform, but we will keep the Vendor List available to you on substantially the same basis.
Delivery may rely on third-party services such as email providers, file hosting, or membership software. We do not control those services and are not responsible for outages outside our reasonable control.
4. Licence and acceptable use
We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Vendor List for your own internal business purposes, for the access period you purchased.
You may:
- use the information to research and contact vendors for your own business;
- keep one backup copy for your own records.
You may not:
- share, sell, license, gift, publish, or redistribute the Vendor List, in whole or in part;
- post it on a website, forum, social platform, course, newsletter, or file-sharing service;
- use it to build or populate a competing directory, database, or dataset;
- scrape, bulk-copy, or systematically extract the contents;
- remove or alter ownership notices;
- use it to send spam, harass vendors, or break any law.
One purchase covers one person or business. If several people or brands in your organisation need access, contact us for a team licence.
5. Price, payment, and taxes
Prices are shown at checkout in USD and may change at any time. Payments are processed by our payment provider. By purchasing, you authorise the charge to your chosen payment method.
You are responsible for any taxes, duties, or levies that apply in your location. If a price or description is clearly wrong, we may cancel the order and refund what you paid.
6. Refunds and cancellations — all sales are final
Because the Vendor List is a digital product delivered immediately and cannot be returned, all sales are final. We do not offer refunds, exchanges, or store credit, except in the two cases below.
We will refund you if:
- the law in your jurisdiction requires it; or
- you never received the Vendor List, or it is materially incomplete or inaccessible, and we cannot fix the problem within a reasonable time after you contact us.
We do not refund for change of mind, buyer’s remorse, not using the Vendor List, expecting different or more vendors, finding similar information elsewhere, a vendor changing its prices, terms, or availability, a vendor not replying, or any lack of business results. Those are risks of running your own business, not defects in the product.
If you are a consumer in a country that gives you a right to cancel digital content purchases, by buying you expressly ask us to supply the Vendor List immediately and you accept that you lose that cancellation right once access has been provided, to the extent the law allows. Nothing in these Terms limits rights that cannot lawfully be excluded.
To ask about access or report a delivery problem, email contact@coldwrists.com within 7 days of purchase.
7. Chargebacks and payment disputes
Please contact us before opening a chargeback or payment dispute. Most problems are a delivery or email issue we can fix quickly.
If you open a chargeback for a product that was delivered, we may suspend or end your access while the dispute is investigated. We may provide the payment processor with evidence of delivery and use. To the extent the law allows, you agree to pay the reasonable costs we incur in recovering a payment that was improperly reversed.
8. Third-party vendors and suppliers
The vendors in the Vendor List are independent third parties. They are not our agents, employees, partners, or endorsed by us. Including a vendor in the list is not a recommendation, verification, or guarantee.
We do not control and cannot guarantee:
- whether a vendor is still trading, or will accept you as a customer;
- prices, minimum order quantities, or payment terms;
- product quality, safety, legality, or authenticity;
- licences, certifications, or insurance;
- shipping times, stock levels, or communication.
Vendor details can change without notice, and we do not verify every claim a vendor makes. You are responsible for your own due diligence: order samples, request references, check licences, and confirm that any product you source is legal to sell, import, and advertise in your market.
Any order or contract you make with a vendor is solely between you and that vendor. We are not a party to it and are not a broker, agent, escrow, or guarantor. Disputes about goods, payments, or delivery must be raised with the vendor.
9. No guarantee of results
The Vendor List is an informational product. We make no promise that you will make money, get sales, find suitable suppliers, or build a successful business. Any examples, figures, or testimonials we show are illustrations, not predictions, and are not a guarantee that you will achieve the same or similar results.
You accept that starting and running a business carries financial and commercial risk, and that you are responsible for your own decisions.
10. Your responsibilities
You agree to:
- use the Vendor List lawfully and only for legitimate business purposes;
- comply with all laws that apply to you, including consumer protection, advertising, product safety, import and export, sanctions, intellectual property, privacy, and tax rules;
- make sure any product you source is legal to sell and import where you operate;
- handle your own customer service, returns, warranties, and product claims;
- keep your access details private and tell us promptly about unauthorised use.
Do not present yourself as our representative, or suggest that we endorse or are responsible for your business, your products, or your relationships with vendors.
11. Intellectual property
The Vendor List, including its selection, arrangement, notes, descriptions, and the website that delivers it, is owned by us or our licensors and protected by intellectual property law. You receive only the licence described in section 4. No ownership passes to you.
Vendor names, logos, and trademarks belong to their respective owners and are used only to identify them. We grant you no rights to those marks.
If you send us feedback or suggestions, we may use them without obligation or payment. If you believe content in the Vendor List infringes your rights, contact us at [support email] and we will review it.
12. Suspension and termination
We may suspend or end your access without refund if you breach these Terms, if we are required to by law, or if we need to protect our rights, our vendors, or our systems.
When access ends, your licence ends and you must stop using the Vendor List and delete any copies you hold. Sections 6, 8, 9, 11, 13, 14, 15, and 17 survive termination.
13. Disclaimers
To the fullest extent the law allows, the Vendor List is provided “as is” and “as available”. We make no warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, completeness, or non-infringement.
We do not warrant that the Vendor List is complete, current, or error-free, that every vendor will respond, or that the information will meet your requirements. Some jurisdictions do not allow certain exclusions, so parts of this section may not apply to you.
14. Limitation of liability
To the fullest extent the law allows, we are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, goodwill, or business interruption, even if we were advised such loss was possible.
Our total aggregate liability arising out of or relating to the Vendor List or these Terms will not exceed the amount you paid us for the Vendor List.
Nothing in these Terms limits liability that cannot lawfully be limited, including liability for fraud, or for death or personal injury caused by negligence.
15. Indemnity
You agree to defend, indemnify, and hold harmless [Legal Business Name] and its directors, officers, employees, and contractors from any claims, liabilities, damages, losses, and costs (including reasonable legal fees) arising out of:
- your use of the Vendor List;
- your products, business, or customers;
- your dealings with any vendor;
- your breach of these Terms; or
- your violation of any law or third-party right.
16. Changes to these terms
We may update these Terms from time to time. The new version will be posted on this page with a revised “Last updated” date. Material changes take effect when posted, or on the date stated in the notice. Continuing to use the Vendor List after a change means you accept the updated Terms.
We may also change, suspend, or discontinue parts of the Vendor List. We are not obliged to keep any particular vendor listed.
17. Governing law and disputes
These Terms are governed by the laws of [State/Country], without regard to conflict of law rules. Before starting legal action, contact us at contact@coldwrists.com and give us 7 days to try to resolve the issue informally.
18. General
These Terms, together with our Privacy Policy, Refund Policy, and your order confirmation, are the entire agreement between us about the Vendor List. If any part is found unenforceable, the rest stays in effect. If we do not enforce a right, that is not a waiver of it. You may not transfer your rights under these Terms without our consent; we may transfer ours as part of a merger, acquisition, or sale of assets.
Nothing in these Terms creates a partnership, joint venture, agency, or employment relationship. We are not liable for delays or failures caused by events beyond our reasonable control. Electronic communications satisfy any requirement that a notice be in writing.
